Senior Associate – Transactional Tax Advisory

What we’re looking for:
We are looking for a detail-oriented and motivated Senior Associate (2-4 years experience) to join our Transactional Tax Advisory team. In this role, you will advise clients engaged in renewable energy, M&A, and other commercial transactions. This role involves advising our clients regarding a wide range of potential tax matters. You will work directly with clients to evaluate risks and opportunities across a spectrum of some of the most complex tax structures and do work that is more technical, impactful, and varied than what is typically available at traditional “large firms.”
The ideal candidate brings a strong foundation of tax knowledge coupled with excellent written communication skills and creative problem-solving abilities Our practice focuses on renewable energy incentives, investment tax credits, as well as more traditional M&A and commercial transactions, our clients appreciate our commercial approach to managing complex tax risks in a sophisticated deal environments. This is an excellent opportunity for a junior professional with legal and/or tax experience who is eager to develop deep expertise across a wide range of tax topics.

J.D. or Master’s degree in Finance, Accounting, Tax Law, or related field.

2 – 4 years of experience in tax memo and/or opinion drafting, due diligence, deal structuring, or integration at a Big 4 or other nationally-recognized accounting or advisory firm, corporate tax department, law firm, or in government tax advisor role.

Strong writing, research, analytical, and presentation skills.

Responsibilities:
- Assist in analyzing and addressing potential tax exposures for clients in renewable energy and transactional settings.

Review transaction agreements (e.g., partnership agreements, purchase agreements, tax equity documents, tax credit transfer agreements, and debt finance agreements) to help identify and assess tax risks.

Support negotiation of contract terms in collaboration with clients.

Conduct research and prepare client-ready memoranda and opinions on tax, issues affecting covered tax positions.

Contribute to client presentations, proposals, and submissions.

Coordinate with clients, investors, developers, and law firms to facilitate deal execution.

Track project timelines and manage transaction documentation to ensure smooth closing processes.
Qualifications:
- Bachelor’s degree in finance, Accounting, or a related field (a JD or Master’s is considered an asset)

Prior experience in state and local tax at a Big 4 firm, national firm, Big Law firm, or corporate tax department with a strong preference for M&A tax experience.
